National Loans and Financing provides users the opportunity to obtain information about, and to be matched with, certain funding products and financial services offered by third-party lenders, funding partners, and other service providers ("Funding Partners").

We are not a lender. We are a marketing and lead-generation service that acts solely as an intermediary to connect users with Funding Partners. We are not a bank, lender, broker, credit card issuer, or other financial service provider, and we are not your agent, advisor, or fiduciary. We do not make credit or funding decisions, we do not issue any financial product, and we do not guarantee the approval, terms, amounts, or rates offered by any Funding Partner. Any information made available through the Services is for general informational purposes only and is not financial, legal, or tax advice. Not all applicants will qualify.

We do not endorse, and are not responsible for, the conduct, policies, products, or services of any Funding Partner. Any product or service you obtain from a Funding Partner is subject to that party's own terms, conditions, and privacy practices.

The Website and Services are offered to users who are 18 years of age or older, are business owners or authorized representatives of a business, and reside in the United States or its territories. By using the Website, you represent and warrant that you meet these requirements and are able to form a binding contract with the Company. If you do not, you must not use the Website or Services.

To be matched with Funding Partners, you may be asked to submit a request ("Information Request") providing information about you and your business, which may include your name, business name, email address, phone number, home and business address, date of birth, Social Security number, business tax ID (EIN), bank account information, bank statements, revenue, credit information, and related details ("User Data").

You represent and warrant that all User Data you submit is true, accurate, and complete, and that you are authorized to provide it. By submitting an Information Request, you authorize us to share your User Data with one or more Funding Partners and their affiliates, and you authorize those parties to obtain consumer, personal, business, and credit reports and other information about you and to use your User Data to evaluate and offer you funding and related products. User Data you submit to a Funding Partner is governed by that party's privacy policy.

By providing contact information through the Website or Services, you agree that we and our Funding Partners may contact you at the phone number(s) and email address(es) you provide — including by phone call, text/SMS message, and email, and including through automated dialing technology and prerecorded or artificial voice messages — regarding your inquiry and related offers, even if your number is on a Do Not Call list. Consent is not a condition of any purchase or of obtaining funding. Message and data rates may apply, and message frequency may vary. You may opt out of marketing texts by replying STOP, unsubscribe from marketing emails using the link in any such email, or contact us at Funding@applynlf.com. Requests to stop communications from a Funding Partner must be directed to that party.

We make the Services available for your own use in connection with obtaining information about business funding. You may not copy, distribute, transmit, sell, resell, scrape, or otherwise exploit the Services for any unauthorized purpose.

The Website and its entire contents, features, and functionality (including text, graphics, logos, images, and software, and the design, selection, and arrangement thereof) (the "Licensed Content") are owned by the Company, its licensors, or other providers and are protected by U.S. and international intellectual property laws. "National Loans and Financing," our logos, and related names and slogans are our trademarks; you may not use them without our prior written permission. We grant you a limited, personal, non-exclusive, non-transferable license to use the Website and Licensed Content solely in connection with the Services. Any other use is a breach of these Terms of Use.

You agree to use the Website and Services only for lawful purposes and in accordance with these Terms of Use. You agree not to: (a) violate any applicable law or regulation; (b) submit false, inaccurate, or fraudulent information; (c) impersonate any person or entity; (d) transmit spam or other unsolicited solicitations; (e) introduce viruses or other malicious code; (f) use any robot, scraper, or automated means to access the Website without our consent; (g) attempt to gain unauthorized access to, interfere with, or disrupt the Website or its systems; or (h) engage in any conduct that restricts others' use of the Services or that could harm the Company or expose it to liability.

The Website is intended for users located in the United States. We make no claim that the Website is appropriate or available for use outside the United States. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with local laws.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, SUPPLIERS, AND PARTNERS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY FUNDING WILL BE OFFERED OR OBTAINED.

The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR SERVICES, INCLUDING LOSS OF REVENUE, PROFITS, BUSINESS, DATA, OR GOODWILL, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF FORESEEABLE. THE COMPANY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY PRODUCTS OR SERVICES PROVIDED BY FUNDING PARTNERS OR OTHER THIRD PARTIES. IF, NOTWITHSTANDING THE FOREGOING, THE COMPANY IS FOUND LIABLE, ITS TOTAL LIABILITY WILL NOT EXCEED US $100.00.

The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and their respective officers, directors, employees, agents, and assigns, from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use, your User Data, or your use of the Website or Services.

These Terms of Use and any dispute arising out of or relating to them or the Website (including non-contractual disputes) are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any legal action shall be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the jurisdiction of and venue in those courts.

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.

To the fullest extent permitted by law, any dispute or claim arising out of or relating to these Terms of Use or the Website will be brought individually, and you agree not to bring, join, or participate in a class action against the Company.

No waiver by the Company of any term or condition will be deemed a further or continuing waiver of that or any other term. If any provision of these Terms of Use is held invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

These Terms of Use and our Privacy Policy constitute the entire agreement between you and V Square Holdings LLC regarding the Website and Services and supersede all prior understandings and agreements, whether written or oral.
